Summary of the circular issued by NSE on 28/10/2022
NSE issues Standard Operating Process under SEBI (PIT) Regulations, 2015 for ensuring compliance with Structured Digital Database (SDD)
Companies are required to submit a quarterly compliance certificate, by emailing it to the designated email ID, which has to be certified either by the compliance officer or a Practicing Company Secretary (PCS) in the prescribed format as per the timelines indicated below.
– For quarter ended September 2022: On or before November 18, 2022
– For quarter ended December 2022: On or before January 21, 2023
Where a Company has already submitted the above certificate in old format, it shall file the same once again in the revised format as mentioned in this circular.
Further, the Listed companies are requested to note that Exchanges shall inspect the SDD system maintained by the company after providing 1 working day notice. Non-compliance, if any observed, with respect to maintenance of SDD, will lead to initiation of appropriate action by the Exchange.
It is to be noted that the Companies which are in process of listing shall also maintain the SDD.
