Introduction to BLISS
BLISS is an acronym of Board Leaders Integrated Software Solution. BLISS and its variants are cloud-hosted software for Company Secretaries to automate the compliance requirements with all the provisions of Companies Act, 2013, Mandatory Secretarial standards and SEBI’s LODR (for listed companies). BLISS provides a real-time compliance dashboard which reflects the records available in its e-repository module.

BLISS provides three key functions:
- Real-time Compliance Dashboard
- E-repository of secretarial records and
- Secretarial Automation by triggering secretarial routines to ensure compliance with the Companies Act, 2013 thereby enabling good corporate governance.
BLISS is a Company Law automation and compliance software and hence does not cover other laws. It is not a ‘framework’that provides breadth but is an in-depth software which automatically triggers all the compliances under Companies Act, 2013, mandatory Secretarial standards & SEBI’s LODR.
Users are not required to initiate any compliance requirement on their own, as BLISS has automated triggers for compliance. Since it is on cloud, there is no need for the user or their IT teams to update any periodical patches for legal updates.
Creating Board Docket
Yes. BLISS enables the creation, circulation and storage of Board/Sub-Committee dockets and Agenda notice along with the attachments in a legally compliant way.
Yes. It is possible to download or print the agenda document created using BLISS.
Yes. You can create a Circular Resolution in BLISS, circulate it among the Directors to give their consent. The Directors can vote using the email received itself in a single click. On majority of Directors approving the resolution, the Company Secretary will get an automated email and the Circular Resolution is automatically included in the agenda of the next Board Meeting
Yes. With BLISS you can email the board docket to all the Directors and invitees. Further, BLISS tracks the delivery of emails to the respective addressee and stores the proof of delivery in the software.
Yes. You can create any number of company specific Sub-Committees and name them, define the composition and quorum required, specify the members and the frequency of meetings to be held.
Risk Management Dashboard
BLISS tracks all the compliance requirements specified in the Companies Act, 2013 and SEBI’s LODR, for listed companies. Compliance is tracked under the following five categories:
- Agenda (AG)
- Minutes(MN)
- Registers(RG)
- Returns(RT)
- Action Trackers(AT)
Dashboard is automatically updated daily at 09.00 AM IST. In addition, the user can get the updated status at any time of the day by clicking on the ‘Refresh’ icon for real-time updates on compliance status.
E-Repository
You can search and find within seconds by using keywords contained in a documents created using BLISS. Keywords need to be a minimum of of 3-character length. For documents created outside BLISS, keyword search can be used, if the PDF is OCR (Optical Character Recognition) enabled.
If at any point of time, you have forgotten your password or want to reset it, you can click on ‘Forgot Password’ on the login screen which will send a password reset link to your registered email address. You can click on the link and reset your password.
Yes. You can store all your secretarial records from the date of incorporation in BLISSPLUS & BLISSLISTED. CimplyFive also provide digitization services to digitize your secretarial records, convert them to PDF-A files with OCR enabled for storage in BLISS e-repository.
Records uploaded in BLISS are stored in Amazon Web Services (AWS) data centers in Mumbai region.
Yes. Non-secretarial documents of the company can also be stored
BLISS has automated compliance requirements. 30 days prior to the compliance the software will send an alert to authorized users to enable them to comply with the requirement.
Registers / Forms
BLISS provides for statutory registers to be maintained in electronic form, that is compliant with the regulatory requirements of Company Law in India. For specifics, it meets the requirement of Rules 27 and 28 of the Companies (Management & Administration) Rules, 2014
BLISS works on the principle of one-time data entry. BLISS uses the data entered in the Agenda, Minutes and Registers maintained in BLISS to prefill the forms. As on date, most of the frequently used forms like ADT-1, DIR 12, MGT 7, CHG 1 and CHG 4 can be downloaded from BLISS with the data prefilled requiring only a scrutiny before it is filed.
Yes. BLISS has a provision to import files from excel and give you the registers in the statutory formats as prescribed in the Companies Act, 2013
All the statutory registers prescribed in the Companies Act, 2013 can be maintained in BLISS. Further, if any new register is introduced in the Act, they will be made available in BLISS.

Apart from annual subscriptions and the applicable Tax like GST, there is no other charge for using BLISS and its variants.
Being a cloud hosted software, BLISS does not need any minimum hardware configuration for use. Most Laptops or Desktops with a good internet connection (5 Mbps speed) is adequate.
You can register and start using BLISS within one hour. Subscribers of BLISS can avail themselves of a 45 minute training program from our domain team to help them use BLISS optimally.
At present, there is no such provision. Going forward, it can potentially evolve.
BLISS has more than 100 distinct features. Prominent among them are automation of circular resolutions, getting extracts of board resolutions, enabling audit and due diligence by providing auditors and law firms with time bound read-only access among others.
Below are the steps to purchase CIN in BLISS:
- Visit https://bliss.cimplyfive.com and click on ‘Create Account’
- Upon successful registration of your account, click on “Buy CIN” and choose “LISTED/UNLISTED” from the drop down, as the case may be
- In the tariff table, for as many companies you want to register, select the appropriate number in “No.of CIN Credits” field
- Select the “Period of Subscription” from the drop down
- Click “Make Payment”
- Enter the details of Person/Entity in whose name invoice has to be generated
- Provide GSTIN number, if available
- If GSTIN isn’t available, fill-in the State field. Click “Confirm Payment” to proceed with the payment.
Commercial Model
BLISS commercial model is based on Annual Subscription. The annual subscription paid for BLISS and its variants covers the following four elements:
- Access to the Application hosted in the Cloud
- Regulatory updates for changes in BLISS
- New features added on an ongoing basis
- Support for using BLISS
Annual Subscription charge is to be paid every year in advance for accessing BLISS.
Number of Users and their access management
BLISS provides 5 users per company under 4 categories of rights; BLISSPLUS and BLISSLISTED offers 20 users under 6 user rights categories.
Security
Data at rest and in transit are encrypted by BLISS using AES 256 encryption. Further, access to BLISS is controlled by the user with “TWO FACTOR AUTHENTICATION”.
We also conduct periodical security that evaluate data security system in BLISS. BLISS has the following certifications –
- SOC 2 Type II Certificate issued by a Certified Public Accountant, required by the US listed companies and their subsidiaries
- Vulnerability Assessment and Penetration Testing(VAPT)
- BLISS is certified under the ISO standards ISO 27001 for Information Security Management Systems, ISO 27017 for Cloud based Operations and ISO 27018 for protection of personal identifiable information.
