1.0 General
Board Leaders Integrated Software Solutions (BLISS) is a product of CimplyFive Corporate Secretarial Services Private Limited (CimplyFive). CimplyFive strives to maintain the highest quality of service and uptime for its Users, subject to:
1.1. CimplyFive shall use hardware, software and/ or such other equipment and modify the same as necessary or appropriate for the provision of services. The user may also be required to modify/ upgrade their system to comply with the standards to utilize all the features of the services provided.
1.2. CimplyFive reserves the right to modify, change, add or cancel any feature of the software and any of its services offered. These changes will be documented in the release notes on our website.
1.3. CimplyFive shall make the services of BLISS available 24 by 7 subject to
1.3.1. Planned downtime for which a minimum of 8 hours of prior notice shall be provided, and to the extent practicable be scheduled during weekends
1.3.2. Any unavailability caused by circumstances beyond our reasonable control including for example, acts of God, acts of government, fire, flood, earthquake, civil unrest, act of terror, strike or other labor problems.
1.3.3. Downtime by our third party vendors – hosting and database services provided by Amazon Web Services Inc. and payment gateway services provided by Avenues India Private Limited.
1.3.4. CimplyFive’s obligation and remedy in the event of interruption of Services and /or access to its data, shall include taking all commercially reasonable measures to restore the online service and or access thereto as soon as reasonably possible.
1.3.5. CimplyFive shall not be liable for any direct, indirect or consequential loss or damage sustained by the User by any direct or indirect use or reliance on the services provided. The user explicitly agrees that in the event of a liability being quantified by any authority, the amount shall not exceed the subscription paid for the year by the user.
2.0 Parties to the Contract
2.1. CimplyFive means CimplyFive Corporate Secretarial Services Private Limited, a company incorporated under the Companies Act, 2013 who is providing software services though their product BLISS
2.2. Subscriber means an individual and the organization on whose behalf the individual has paid subscription money to access and use the services provided by our product BLISS
2.3. User means an individual who is authorized by the subscriber to BLISS to use a service, for whom the service was ordered, and to whom at the subscriber’s request we have supplied a user identification and password. User may include, for example subscriber’s employees, consultants, contractors, agents and third party.
3.0 Subscription period
3.1. The User on being authorized by the subscriber to BLISS shall have access to services for the financial year for which they have paid subscription. Financial year means the period starting from April 1 of each year and ending on March 31 of the subsequent year.
3.2. The User will have access to their data contained in BLISS only for the periods for which they have paid the subscription. CimplyFive at its sole discretion may provide access to the User for such additional periods as it deems fit. Provision of such discretionary access shall not be construed as a precedent for extending such privileges to access in the future.
3.3. Any data you enter into BLISS during your subscription period will be permanently lost unless you continue your subscription to our service. You cannot transfer data entered during your subscription period after the expiry of the subscription period. Therefore you must transfer your data before the end of the subscription period, if you plan to discontinue the subscription, failing which your data will be permanently lost.
4.0 Users warrants
4.1. The User represents and warrants that they are authorized and eligible to enter into legally binding agreement on behalf of the Company for which they have purchased the CIN licenses
5.0 Security
5.1. Successfully maintaining confidentiality, privacy and integrity of your data is the joint endeavor of CimplyFive and Users. Therefore
5.1.1. CimplyFive agrees to maintain confidentiality, privacy and integrity of the company data stored in its custody subject to being compelled by the law of the land which requires CimplyFive to provide any legal authority or authorities access to the information stored by you,
5.1.2. As User, on your part you agree to the following points listed below:
- The registered User is free to choose a password of adequate strength as per the indicators reflected in the site. The user recognizes the need to maintain secrecy of the password. To enable this, the user is advised to avoid choosing a password that is a dictionary word or is guessable /inferable from his/her personal data such as name, date of birth, address, telephone number, driving license or vehicle number.
- CimplyFive presupposes and the same is acknowledged by the User that log-in using appropriate name and password is a valid session initiated by none other than the User to whom the said Username and password CimplyFive shall rely upon all electronic communication or messages through the internet received by CimplyFive and take it for granted that the originator of the communication is the user to whom the username and password is assigned.
- The User can access CimplyFive from anywhere, anytime. However, as a matter of precaution and safety they should avoid using devices with public access.
- In the interest of data security, User is not permitted retrieval of a lost or forgotten password. In case the User forgets his password, they will have to register for a duplicate password and a fresh password will be issued to them.
6.0 Jurisdiction
6.1. CimplyFive has its registered office in the city of Bengaluru, Karnataka. This agreement shall be viewed in the context of laws applicable in Karnataka and as interpreted by Courts of Karnataka.
