Summary of the circulars issued by BSE and NSE on 01/08/2022 and 02/08/2022 respectively
Use of Digital Signature Certificate (DSCs) is made mandatory for filing of intimations by listed companies with effect from 01/09/2022
In the light of Covid- 19 pandemic, SEBI had permitted listed companies to use DSCs for authentication/certification of filings/submissions made to the stock exchanges under the LODR regulations for all filings until December 31, 2021.
Considering the advantages of using DSCs, the stock exchanges have now notified that the authentication using DSC is mandatory with respect to intimations/announcements filed under various SEBI Regulations except for following disclosures/events, with effect from 01/09/2022:
- Outcome of Board meeting which includes only financial results.
- Any disclosure in which document(s) issued by entity/ies other than listed company is/are included (For e.g., Auditors certificate, NCLT / other court’s order, Credit Rating, etc.);
- Newspaper advertisement.
- Any other disclosure as specified by Stock Exchanges from time to time.
